These Terms and Conditions (“Terms”) govern your access to and use of the website known as RUC Hub, located at https://ruchub.co.nz, including all subdomains, pages, tools, datasets, dashboards, articles, visualisations, newsletters, and related services (together, the “Site”).

By accessing or using the Site, you agree to be legally bound by these Terms. If you do not agree, you must not access or use the Site.

1. Legal identity, operator, and corporate structure

The Site is owned and operated by RUC ON RAILS LIMITED, a company incorporated in New Zealand.

RUC Hub is not a separate legal entity. It is a product, publishing platform, and information service operated by RUC ON RAILS LIMITED as part of a broader portfolio of commercial products and services.

No trust, shell company, special-purpose vehicle, charitable entity, or nonprofit structure exists in relation to RUC Hub.

Any reference to “RUC Hub”, “we”, “us”, or “our” refers to RUC ON RAILS LIMITED in its capacity as operator of the Site.

2. Independence, editorial control, and non-affiliation

2.1
RUC Hub operates with independent editorial, analytical, and research judgement. Independence refers solely to editorial decision-making and does not imply separate ownership, charitable status, nonprofit status, or institutional separation from RUC ON RAILS LIMITED.

2.2
Editorial independence means that content is not produced on behalf of, and is not subject to direction or approval by:

  • regulators;
  • Crown entities;
  • commercial partners;
  • donors; or
  • third parties referenced on the Site.

2.3
RUC Hub is not affiliated with, endorsed by, authorised by, sponsored by, or acting on behalf of the New Zealand Transport Agency (NZTA), the Ministry of Transport, or any other Crown entity or public authority.

2.4
Nothing on the Site constitutes official guidance, authoritative interpretation, or a binding statement of law or policy by any government body.

3. Purpose, scope, and limits of the Site

The Site exists to provide general information, public-interest research, editorial analysis, commentary, and curated access to publicly available material relating to Road User Charges (RUC) and associated regulatory, policy, market, and industry topics.

The Site does not provide legal advice, financial advice, regulatory advice, compliance advice, or professional services of any kind.

The Site is not a substitute for legislation, official government publications, or professional advice.

You acknowledge that any reliance on information obtained through the Site is entirely at your own risk.

4. Contractual hierarchy and incorporated documents

These Terms must be read together with the following documents, each of which is incorporated by reference as if fully set out in these Terms:

  • the Disclaimers prevail in respect of liability, content characterisation, and reliance; and
  • the Privacy Policy prevails in respect of the collection, use, storage, and disclosure of personal information.

5. Editorial, journalistic, analytical, and opinion content

The Site publishes content that may be journalistic, editorial, analytical, interpretive, speculative, or opinion-based in nature.

5.2
Editorial and opinion content reflects the views, judgement, and interpretation of the RUC Hub editorial team at the time of publication only.

5.3
Such content may involve:

  • critique of policy or market behaviour;
  • simplification of complex systems;
  • forward-looking analysis;
  • scenario modelling; and
  • subjective interpretation.

Editorial and opinion content does not constitute statements of fact unless expressly stated as such.

Disagreement with editorial content does not, of itself, render content inaccurate, misleading, defamatory, or unlawful.

6. Sources, citations, summaries, and adaptations

Where reasonably practicable, the Site references or links to original source material.

6.2
External sources are not under our control. We make no representations as to their accuracy, completeness, availability, or ongoing correctness.

The Site may summarise, reformat, annotate, translate, or adapt source material for clarity, accessibility, or comparison.

6.4
Summaries and adaptations may omit detail or context and are not substitutes for original documents.

7. Crown copyright and Creative Commons material

Certain content on the Site is based on or derived from material created by or for the New Zealand Crown (“Crown Material”) within the meaning of the Copyright Act 1994.

Many Crown entities license material under Creative Commons Attribution 4.0 International (CC BY 4.0) and, in some cases, Creative Commons Attribution 3.0 New Zealand (CC BY 3.0 NZ). Licensing terms vary by agency and publication.

Where RUC Hub uses Crown Material under a Creative Commons licence, it endeavours, where reasonably practicable, to:

  • attribute the relevant Crown entity;
  • identify the applicable Creative Commons licence; and
  • indicate where the material has been summarised, reformatted, or otherwise modified.

7.5
Creative Commons licences generally do not apply to logos, emblems, coats of arms, trademarks, brand identities, or third-party material appearing on government websites. Such elements remain subject to separate rights and permissions.

7.6
RUC Hub does not claim ownership of Crown Material and does not monetise Crown Material itself. No fees, paywalls, or access charges are imposed for Crown Material.

Revenue received is applied to the maintenance, operation, and development of the Site as a whole, including editorial, technical, and infrastructure costs, and is not consideration for access to, reuse of, or exploitation of Crown Material.

8. Legislation and public legal materials

The Site may reference or quote legislation, Bills, regulations, parliamentary materials, and court or tribunal decisions.

Such references are informational only and may be incomplete, summarised, or out of date.

8.3
You must refer to authoritative sources for legal compliance and interpretation.

9. Privacy, personal information, and data usage

The Site collects, uses, stores, and discloses personal information in accordance with the Privacy Act 2020 (New Zealand) and the Privacy Policy.

  • retention periods; and

Personal information that may be collected includes, without limitation:

  • payment-related metadata (processed by third-party providers);
  • technical and usage data such as IP address, device identifiers, browser type, and logs;
  • analytics and cookie data.

You acknowledge that:

  • use of the Site generates metadata and logs;
  • absolute anonymity cannot be guaranteed;
  • reasonable security safeguards reduce but do not eliminate risk.

Personal information collected via RUC Hub is not used for automated decision-making with legal or regulatory effect.

10. Market listings and organisational information

The Site may include directories, listings, or profiles of organisations for informational and research purposes.

Inclusion or exclusion does not imply endorsement, approval, certification, partnership, or criticism.

Information may be incomplete, inaccurate, or outdated. No warranty is given.

11. Data, statistics, and derived content

Charts, dashboards, and datasets may be derived from public sources and may involve aggregation, modelling, assumptions, estimation, or interpretation.

11.2
No representation or warranty is given as to accuracy, completeness, timeliness, or fitness for any purpose.

The Site must not be relied upon as the sole basis for regulatory, compliance, financial, or legal decisions.

12. Intellectual property

Except where otherwise stated, intellectual property rights in RUC Hub Content are owned by RUC ON RAILS LIMITED or its licensors.

You may view, access, and share links to the Site and quote limited excerpts with appropriate attribution.

12.3
You must not, without prior written consent, reproduce, scrape, harvest, mirror, or commercially exploit substantial portions of the Site, including structured datasets or directories.

13. Acceptable use and automated access

13.1
You must not misuse the Site, interfere with its operation, misrepresent its authority, or attempt unauthorised access.

13.2
Automated scraping, bulk downloading, mirroring, or high-volume automated access is prohibited without express written permission.

13.3
We may impose rate limits, access restrictions, or blocks at our discretion.

14. Limitation of liability and liability cap

14.1
To the maximum extent permitted by New Zealand law, RUC Hub and RUC ON RAILS LIMITED exclude all liability for loss or damage arising from or in connection with:

  • reliance on Site content;
  • editorial analysis or opinion;
  • data or statistics;
  • Crown Material;
  • external links; or
  • Site unavailability.

14.2
Where liability cannot be excluded, the total aggregate liability of RUC ON RAILS LIMITED to you, whether in contract, tort (including negligence), equity, statute, or otherwise, is limited to the lesser of:

  • NZD $1,000; or
  • the maximum amount permitted by law.

14.3
This limitation applies to all claims arising out of or in connection with your use of the Site.

15. Indemnity

You agree to indemnify and hold harmless RUC Hub and RUC ON RAILS LIMITED from any claims, liabilities, losses, damages, costs, or expenses (including legal fees) arising from your breach of these Terms, misuse of the Site, or infringement of third-party rights.

16. Governing law and jurisdiction

These Terms are governed by the laws of New Zealand. You submit to the exclusive jurisdiction of the New Zealand courts.

17. Translated and multilingual content

17.1
The Site may offer content that has been translated from English into other languages for the convenience of users (“Translated Content”).

17.2
Translated Content may be produced using automated translation tools, machine translation, artificial intelligence, human translators, or any combination of these methods.

17.3
The English-language version of the Site is the sole authoritative version. In the event of any inconsistency, ambiguity, or discrepancy between the English-language version and any Translated Content, the English-language version prevails in all respects.

17.4
No representation or warranty is given as to the accuracy, completeness, reliability, or adequacy of any Translated Content. Translations may contain errors, omissions, inaccuracies, or mistranslations.

17.5
You acknowledge that translations of legal, regulatory, technical, or policy material may not accurately or fully convey the meaning, context, or nuance of the original English-language content.

We accept no liability for any loss, damage, or misunderstanding arising from or in connection with reliance on Translated Content, including but not limited to:

  • errors or omissions in translation;
  • mistranslation of technical, legal, or regulatory terms;
  • differences in meaning between the English-language version and a translated version; or
  • any action taken or not taken based on Translated Content.

Translated Content is provided on an “as is” and “as available” basis, without warranty of any kind, express or implied.

17.8
You are responsible for verifying the accuracy of any Translated Content before relying on it for any purpose.
