In 2018, autoTicket GmbH (a 50/50 joint venture between Kapsch TrafficCom and CTS EVENTIM) won a EUR 2 billion+ contract to implement and operate Germany's passenger car tolling system. Following an EU Court of Justice ruling that the toll was discriminatory, the German government unilaterally terminated the contract in September 2019. The joint venture quantified damages at approximately EUR 560 million and initiated arbitration proceedings. An arbitral tribunal confirmed that Germany was not permitted to withdraw without compensation. In July 2023, a settlement of EUR 243 million was reached, with Kapsch receiving approximately EUR 80 million. The dispute had a material impact on the company's financial position for several years.
After years of financial strain from the German Maut dispute, project losses in the Americas, and COVID-19 impacts, Kapsch TrafficCom agreed a comprehensive restructuring of its financing with major creditors in May 2023. Net debt had reached EUR 186 million with a gearing ratio well above sustainable levels. The restructuring targeted a net debt reduction of at least EUR 60 million. The company subsequently achieved significant deleveraging (net debt down to EUR 101.5 million by March 2025), aided by the German settlement proceeds and asset disposals, but the restructuring reflected a period of serious financial difficulty.
The Organisation Undoing Tax Abuse (OUTA) in South Africa alleged that Electronic Toll Collections (ETC), a subsidiary indirectly owned by Kapsch TrafficCom, and its South African entity TMT Services were involved in corruption and bribery. Allegations included unexplained payments of approximately R10 million to ProAsh Property Investments with no evidence of services rendered, and separate allegations that Kapsch's joint venture partner Intelligent Mobility Solutions (IMS) in Zambia received US$3.5 million as 'pre-sales costs' paid to an individual's personal account. The allegations were reported to the SA Police Service, the US Department of Justice, and the Vienna Stock Exchange. Kapsch TrafficCom refuted the allegations as 'pure conjecture and entirely unsubstantiated.' The company subsequently sold its TMT stake in 2024 as part of a strategic portfolio review.
The New York State Department of Transportation found Kapsch TrafficCom USA, Inc. to be 'non-responsible' and ineligible for two traffic management centre contracts in 2023. The determination was based on concerns about an undisclosed relationship with United DOTS, a company whose cofounders had joined Kapsch through the 2016 Schneider Electric acquisition, as well as issues from a 2019 contract. Kapsch challenged the determination in court but lost on appeal, with the New York Appellate Division ruling that the DOT had rational bases for its decision. Despite this setback, Kapsch subsequently won new NYSDOT contracts and began operating two additional traffic management centres in January 2026.
In October 2025, Kapsch TrafficCom issued a profit warning, revising its FY2025/26 revenue outlook from approximately EUR 510 million down to EUR 450 million, and EBIT from EUR 45 million to EUR 25 million. The company cited 'extremely hesitant awarding behaviour across the entire market' with infrastructure stimulus packages not yet translating into investment decisions, and delays in large project tenders. The share price, which had peaked near EUR 70 in 2018, was trading around EUR 6.50 by early 2026.
